EDGAR Online, Inc. Raises $5 Million
Private Placement of Securities

South Norwalk, CT - January 9, 2002 - EDGAR
Online, Inc. (Nasdaq: EDGR)
announced today it has raised $5 million via a private placement of
securities. EDGAR Online, Inc. is a provider of financial
information derived from U.S. Securities and Exchange Commission data
and developer of financial and business systems solutions.
Institutional Investors in the transaction include Special Situations
Funds, Discovery Capital Partners and an existing shareholder. They
have invested $5 million through the purchase of EDGAR Online,
Inc. securities. The transaction was facilitated by Atlas
Capital Services, LLC

Proceeds of the transaction will be used to help fund EDGAR
Online's continued growth into the corporate marketplace including
product and sales force development. Sales to the corporate marketplace
now account for over 80% of the company's revenue.
